Wholesale Terms & Conditions


GreenBox Art + Culture (which includes ‘Oopsy Daisy, Fine Art for Kids’) will review all new account requests and will authorize the sale of our products at our discretion.

All applicants must provide proof of business legitimacy based on their individual State/Region/Country’s laws at the time of application (State Tax ID number, copy of business license, etc). GreenBox Art + Culture will not process orders from any applicant who has not provided this information. 

Contact Information
We communicate with our customers via email and so require at least one valid email address for your business. All account information will be sent to the relevant business email address that is on file, including: order confirmations, fulfillment or backorder notices, and general notices regarding our product line. Lack of awareness about product line changes is not a reasonable excuse for public facing product images, prices and/or descriptions being out of date. 

Active Accounts
New wholesale accounts must place their initial opening order within 90 days of account activation to avoid account deactivation. For new accounts that do not place their opening order within 90 days, we will require a new application to be submitted for approval. A wholesale account will be considered inactive if no new purchase is made from GreenBox Art + Culture for 18 consecutive months and will require a new minimum opening order to re-activate.

Suggested Retail Pricing
It is strongly suggested that all retailers sell GreenBox Art + Culture products at the Manufacturer’s Suggested Retail Price (MSRP) set by GreenBox Art + Culture. 

Promotions
Retailers cannot reduce prices without prior authorization from GreenBox Art + Culture. 

Placing Orders

  • Your 1st order minimum is required within the first 90 days of a new wholesale account being activated (after 90 days the activation will expire if the initial order has not yet been placed).
  • A yearly minimum is required to keep your account activated – please see your sales rep for your required minimum. Stocking accounts are required to order at least $500 worth of product within a six-month period, for a total of $1,000 per year in required orders. 
  • Orders may be placed directly online at www.wholesale.greenboxart.com or through your Representative. Manual orders received to GreenBox Art + Culture by fax or email will not be processed unless all of the following information is included: Customer name, Item description, Item Size, Item Number, Quantity, Price, Shipping Address, and if applicable – Personalization details. Failure to include all information may result in a delay past our standard lead time of 7-10 business days to depart the GreenBox Art + Culture warehouse facility.
  • Only orders placed online or through your Representative are eligible to receive available promotions or discounted pricing – manual orders received by email or fax are not eligible for special pricing (no exceptions).
  • Tracking information for each order is emailed for customers who have provided a valid email address. Manual orders placed by email or by fax are not guaranteed to receive tracking information.
  • Shipping, insurance, and packing charges are not available until the order is ready to ship.
  • All sales are final. No returns are accepted unless items are damaged or defective. All damaged or defective merchandise items must be reported to GreenBox Art + Culture within 5 days of receipt to qualify for return consideration. GreenBox Art + Culture retains the right to require photographic evidence of damage before processing a return or replacement, and the original carton, its contents and all packing materials must be retained at the receiving location in order to send a replacement and/ or issue a credit.
  • GreenBox Art + Culture will communicate solely to the retailer. All consumer communication will be directed back to the original retailer.

Order Cancellations
Since GreenBox Art + Culture prints each item as it is ordered, we cannot accept changes, additions, or cancellations to any orders beyond 24 hours from when the original order was placed. 

Returns
Since GreenBox Art + Culture does not keep inventory and handcrafts every item to order, we cannot accept returns or exchanges for any reason other than damaged or defective merchandise.

Drop Shipment Requirements

  • The phone number at the delivery address is required on the order. If there is a problem with a drop ship order, it is the retailer’s responsibility to communicate with GreenBox Art + Culture to resolve the issue.
  • A $5.00 drop ship fee is included on every drop ship order.
  • All orders are shipped via Ground Shipping unless an alternate form of shipping is specified at the time of order. We do not ship to P.O. Boxes or A.P.O. Boxes.
  • Unless a retailer has been approved for Net30 terms, all drop ship orders must be prepaid by CREDIT CARD at the time of submitting the order.
  • ALL duties, taxes, and customs fees on International orders are the sole responsibility of the recipient at the time of delivery. It is the retailers’ responsibility to supply a broker at the time the order is placed (if a broker is desired). GreenBox Art + Culture will not offer discounts, credits, or returns for items refused or abandoned due to non-payment of any due fees payable by the recipient. When ordering directly online through the GreenBox Art + Culture wholesale website, our 3rd party international shipping costs are included at the time of purchase/ checkout and you will be given the option to choose whether to pay due fees at the time of payment online, or to pay due fees upon receipt of the order into the destined country.

Wrong Address
GreenBox Art + Culture will charge the retailer any and all fees associated with a wrong address provided (including, but not limited to: a missing apartment number, wrong postal code, etc.). If re-shipping or re-routing is required: GreenBox Art + Culture will charge the retailer for the original shipping charge, along with any additional shipping charges enforced by shipping courier, with the same form of payment that was used to pay for the original order.

Production Time
Most items are made-to-order and the lead time is 7-10 business days to depart the GreenBox Art + Culture warehouse location in San Diego, California, USA. Larger orders consisting of 20 or more items will have an increased production time of about 1 week. Personalization does not increase the production time. Items marked as ‘Ready to Ship’ have a lead time of 2-3 business days before shipping, except for larger orders consisting of 20 more items, which can take up to 8 business days (this may vary per order based on quantities and size of order).

Payment and Terms

  • GreenBox Art + Culture accepts Visa, MasterCard, Discover, and American Express and does not keep the card on file for future orders (due to the requirement of a unique token for processing). Please be sure that complete credit card details are provided when placing any order with your Representative. Failure to do so will result in our inability to process the order and cause order delays. GreenBox Art + Culture will attempt to charge the credit card provided up to three times. Failure to secure payment within those three attempts will result in a cancellation of the requested order.
  • When placing orders online directly through your GreenboxArt + Culture online wholesale account, you will need to enter credit card payment details at time of order if your account is not on terms.
  • Customers on Net30 terms are requested to pay their invoice via check no later than 30 days after placing the order. Should Net30 customers choose to pay by credit card at the end of their 30-day approved window, a 4% credit card processing fee will be added to the total charges.

Website-Only Wholesale Accounts

  • All existing web-only retailers must maintain a minimum of $2,500 in sales per contiguous 6-month period to maintain GreenBox Art + Culture’s presence on any website.
  • Any and all new web domain names and/or URLs must obtain pre-approval before loading our product line. Pre-approval can only come from GreenBox Art + Culture and will necessitate a commitment of $5,000 in annual sales per year to maintain an open web-only account.
  • Approval to load one brand’s product line to your website store, does not constitute approval to load all three of our brand products to your website. Each brand requires specific pre-approval.
  • You shall not purchase search engine or other pay per click keywords (such as Google Ads or Bing Ads), or domain names that use GreenBox Art, Oopsy Daisy Art, Wheatpaste Art or these branded trademarks and/or variations and misspellings thereof.
  • You agree to not resell on 3rd party websites that you do not own and operate, including but not limited to: Walmart Marketplace, Amazon Marketplace, eBay, etsy, Bonanza, Zibbet.
  • You must abide by all web guidelines below.

Brick & Mortar Accounts with an Online Webstore

  • If you are an actively stocking retail storefront in good standing, with a valid wholesale account, you may feature GreenBox Art + Culture products that you carry in-store on your direct website.
  • You agree to NOT resell on 3rd party websites that you do not own and operate, including but not limited to: Walmart Marketplace, Amazon Marketplace, eBay, etsy, Bonanza, Zibbet.
  • You must abide by all web guidelines listed below to remain an active account in good standing.

Product Images and Descriptions

  • All GreenBox Art + Culture images displayed on any customer’s website must be current and obtained directly from GreenBox Art + Culture. Retailers using outdated images and/or product descriptions will risk having their orders placed on hold until your website is brought up-to-date. Retailers will have 30 days after being notified that any images or product descriptions are outdated, to bring all product line images and/or descriptions to current. Failure to do so may result in our request for products be removed from your website and any associated websites.
  • Individual product shots and lifestyle room shots that are available across our websites may be used by our active wholesale partners directly on their websites. Vignette shots (home page banner images, landing page images and the like) are property of GreenBox Art + Culture may NOT be used without prior written approval from the GreenBox Art + Culture marketing department.
  • All online product descriptions must clearly include an appropriate GreenBox Art + Culture brand name and artist name, without exception.
  • As part of your company’s independent marketing and branding efforts, you are expected and required to write unique product descriptions for each product; we do not permit duplication or copying of the product descriptions found on our website as this is damaging to our SEO rank.
  • “Retired” pieces must be removed within 30 days of the retirement announcement made by either email or on our website. Failure to remove “retired” pieces within 30 days may result in our request for removal of our products from your website and all associated websites. Orders placed for items that have been “retired” will not be fulfilled under any circumstances, no exceptions.

Paid Search Guidelines
You shall not purchase search engine or other pay-per-click keywords (including but not limited to Google Ads or Bing Ads), or domain names that use GreenBox Art, Oopsy Daisy Art, Wheatpaste Art or these branded trademarks and/or variations and misspellings thereof for use in any paid search engine, 3rd party portal, sponsored advertising services or other search or referral services. Specifically, this policy prohibits:

  • Bidding on GreenBox Art + Culture’s trademarks, ”GreenBox Art + Culture”, “Oopsy Daisy Fine Art For Kids”, “Wheatpaste Art Collective” and any keyword string that includes but is not limited to these terms. For example, "GreenBox Art + Culture Art”, “GreenBox Art”, “Oopsy Daisy Art”, "Wheatpaste Art", ”Wheatpaste Art Collective” etc.
  • Bidding on variations of GreenBox Art + Culture’s trademarks: for example "GreenBox.com", "GreenBox Art.com", www.GreenBox Art.com", "Greenbx Art.com", ""ww.GreenBoxArt.com", "wwwGreenBoxArt.com ", “wwwOopsydaisy Fine Art” etc.
  • Purchasing domain names based on trademarks of GreenBoxart.com or variations of GreenBoxart.com’s trademark: for example "Grenboxart.com", " Greenbxrt.com”, Opsydaisyart.com”, Oopsydaisyart.com, Wheatpastart.com”

NET30 Terms

  • Retailers can apply for terms by sending your credit sheet or by completing our terms application. Send completed forms by either fax: (619) 282-0382 or email: accounting@greenboxart.com
  • Orders will not be held while a pending request for terms is in progress - a credit card must be submitted as payment with the order if prior to Net30 terms being approved or set-up.
  • All Net30 customers are responsible for keeping their account current. This includes notifying us of any changes in ownership, address changes, contact info, etc. In addition, payments must be received by GreenBox Art + Culture on or before the invoice due date. For those who do not, the following actions will be taken, including, but not limited to: not processing new orders, not shipping produced orders, terms revocation and potential closure of the account.
  • Customers on Net30 terms that pay balances with a credit card will have a 4% processing fee applied to the total charge. Alternatively, you may send a check for balance payment.

Sales Tax Charges
All retailers will be responsible for charging sales tax to their retail customers. GreenBox Art + Culture only acts as a wholesale distributor for retailers upon receipt of their sales tax certificate. This tax form is different from your Sales Permit - for any questions or if you require the appropriate form, please contact customerservice@greenboxart.com. California Retailers that do not return a completed tax form will be charged for tax on their orders. In the cases where a retailer is located outside California, and drop-ships an order to California, GreenBox Art + Culture is responsible under California law to collect and remit California sales tax from the retailer.

Warranty
GreenBox Art + Culture offers a limited warranty for products kept in recommended settings. Warranty is void if damage occurs due to improper handling or product being placed in an unfavorable environment. For a list of recommended settings, please visit our FAQ page at www.greenboxart.com/faq

Exclusivity
We reserve the right to provide our services to your competitors and make no promise of exclusivity in any particular market segment. Exclusivity is rarely promised to one area or storefront. However, we realize that it is in the best interest of all parties to try our best to keep representation equally spread. We do create exclusive pieces for customers based on request and MOQ.

Participation
GreenBox Art + Culture retains the right to accept or deny any website requesting participation in our wholesale/ drop shipping program based solely upon our discretion.

Responsibility 
GreenBox Art + Culture is in no way responsible or liable for your business’ success, accuracy, or your website’s legality of its content and operation. Further, you have independently evaluated the desirability of participating in our wholesale/ drop shipping program and are not relying on any representation, guarantee nor statement other than that which is set forth in this agreement.

Illegal or Fraudulent Activity
GreenBox Art + Culture products, images and trademarks, may only be used for lawful purposes and in a lawful manner. Retailer agrees to comply with all applicable laws, statutes, and regulations regarding the use of GreenBox Art + Culture photos and information. Any fraudulent or illegal behavior may be reported by GreenBox Art + Culture to law enforcement officials and GreenBox Art + Culture will cooperate in any manner to ensure that violators are fully prosecuted to the extent of the law.

Copyright Notice
You agree to not reproduce, duplicate or copy any of the artwork produced by GreenBox Art + Culture, our family of brands, and/or the licensed artists in our portfolio (this includes artwork available on Oopsy Daisy, Fine Art for Kids and Wheatpaste, Art for Teens).
